1. Acceptance of Terms

By booking or using any service from PrepFlow Prime Fulfillment Services (“PrepFlow Prime,” “we,” “us,” or “our”), you agree to these Terms of Service (“Terms”).
These Terms form a binding agreement between you and PrepFlow Prime and apply to all services including product preparation, labeling, packing, palletizing, and fulfillment coordination.

If you do not agree with these Terms, do not use our services.

2. Services Overview

PrepFlow Prime provides warehouse-based eCommerce support for online sellers, including:

  • Product preparation and FNSKU/barcode labeling
  • Bubble wrapping, polybagging, boxing, and palletizing
  • Short-term storage (temporary holding pending shipment)
  • Coordination of shipments using client-provided labels or carrier accounts
  • Integration support for Amazon, Walmart, Shopify, and other marketplaces

Scope & Limitations:

  • PrepFlow Prime operates solely as a fulfillment preparation and coordination provider.
  • We do not act as a freight forwarder, broker, or common carrier, and assume no responsibility for goods once they are handed off to carriers (UPS, FedEx, USPS, or LTL providers).
  • Clients remain responsible for ensuring that their products, labels, and documentation comply with all platform, carrier, and regulatory requirements.
  • Short-term storage is limited to goods in active processing or pending outbound shipment; we do not offer long-term warehousing or temperature-controlled storage.
  • Items subject to Amazon’s or Walmart’s restricted product or meltable policies must comply with Section 4 of these Terms.

3. Account & Client Responsibility

Clients must provide complete and accurate business, contact, and product information.
You are responsible for:

  • Ensuring full compliance with all Amazon, Walmart, Shopify, or other marketplace policies.
  • Supplying correct FNSKU/UPC/barcode data and ensuring all product identifiers match marketplace listings.
  • Providing clear, written product-handling and labeling instructions before delivery.
  • Ensuring all shipments meet carrier packaging and labeling standards (UPS, FedEx, USPS, LTL).
  • Verifying that all products are authentic, lawfully purchased, and compliant with U.S. import and intellectual-property laws.
  • Confirming that all necessary customs, tax, and import documentation is accurate and complete when shipping from outside the U.S.
  • Communicating all order or instruction changes via email to customerservice@prepflowprime.com to ensure traceability.

PrepFlow Prime is not responsible for losses, delays, or damages resulting from incorrect, incomplete, late, or misleading information or documentation provided by the client, nor for any violations of marketplace policies or intellectual-property rights arising from client-supplied goods.

Clients remain solely liable for the legality, authenticity, and safe handling of all products delivered to or processed by PrepFlow Prime.

4. Restricted & Seasonal Acceptance Policy

PrepFlow Prime Fulfillment Services (“PrepFlow Prime”) complies fully with Amazon’s FBA inbound product restrictions and seasonal meltable schedule.

  • Meltables (Chocolate, Gummies, Candies, etc.)
    • Accepted only between October 16 and February 28 each year, in accordance with Amazon’s Meltable Acceptance Period.
    • From March 1 through October 15, PrepFlow Prime does not accept any meltable items or goods requiring temperature-controlled handling.
    • Any meltables received outside this period will be rejected, returned, or disposed of at the client’s expense.

Temperature-Controlled & Refrigerated Products
PrepFlow Prime does not maintain any refrigeration, climate-controlled, or frozen storage equipment.
We are not equipped to store, handle, or ship refrigerated, frozen, or temperature-sensitive goods.
Any product requiring temperature regulation—including dairy, meat, seafood, or medically sensitive goods—will be rejected upon arrival or disposed of immediately to maintain facility hygiene and regulatory compliance.

  • Other Prohibited Items
    • Hazardous, flammable, or pressurized materials (e.g., aerosols, gas cylinders)
    • Expired, counterfeit, or mislabeled products
    • Perishable foods, alcohol, tobacco, CBD/hemp, or controlled substances
    • Liquids not securely sealed or likely to leak under normal handling
    • Items banned by Amazon FBA, Walmart Fulfillment Services, or U.S. federal/state law

Clients are fully responsible for verifying that products meet all Amazon, Walmart, and carrier packaging and labeling standards before shipping them to PrepFlow Prime.
Any non-compliant or unsafe items received may be rejected, quarantined, or destroyed without compensation at the client’s cost.

5. Booking & Scheduling

All service appointments must be reserved through our online booking system.
A 10 % non-refundable deposit is required to secure each booking slot, and confirmation is issued once that deposit is received.

PrepFlow Prime operates Monday – Friday, 9 a.m. to 5 p.m. Central Time.
If inbound freight or customer-arranged deliveries arrive outside these operating hours, a $50 after-hours receiving fee will apply.


This fee covers the cost of dispatching staff to the facility to accept and verify the shipment.

We understand that shipping delays and carrier issues sometimes occur.

If your inventory cannot be shipped or will arrive later than the booked date, please notify us as soon as possible at customerservice@prepflowprime.com.


With timely notice, we will reschedule your work internally to align with the new arrival date—without penalty—subject to operational capacity.

Failure to provide notice may result in delays in processing.

PrepFlow Prime reserves the right to adjust scheduling and service timelines to ensure smooth workflow and capacity management.

6. Payment, Shipment & Hold Terms

  • Deposit: A 10% non-refundable deposit is required at booking and applied toward the final invoice. This deposit covers scheduling and administrative costs.
  • Final Payment: Due immediately upon completion of prep work (defined as when all booked services are completed and goods are ready for shipment).
  • Shipment Release: Goods will not ship until full payment is confirmed.
  • Accepted Payments: Credit/debit cards, ACH, Zelle, and wire transfer. Payments made via Zelle or wire are considered final upon receipt.
  • Currency: All payments are made in U.S. dollars (USD).
  • Late Payments: Invoices unpaid after 10 days may result in a hold on goods and suspension of future bookings. A late fee of up to 1.5% per month may apply where permitted by law.
  • Grace Period: Clients have 2 calendar days after completion notice to submit payment and shipping labels.
  • After 2 Days: Storage or holding fees apply per Section 8.
  • Abandonment: Goods unpaid or unclaimed after 30 days may be treated as abandoned under UCC §7-209 / §7-210. Prior to disposal or liquidation, PrepFlow Prime will provide written notice to the client’s last known email address and business address and allow at least 10 additional days to respond.

7. Cancellation & Refund Policy

  • Deposit Requirement:
    A 10% non-refundable deposit is required to secure each booking slot.
    This deposit covers scheduling, administrative, and labor-allocation costs and is credited toward your final invoice once work proceeds.
  • Cancellation Before Work Begins:
    Clients may cancel before goods are received or checked in at our facility without additional charges beyond the deposit.
  • Cancellation After Work Has Started:
    Once goods are received, unpacked, or materials have been allocated, you are responsible for:
    • All work completed up to that point;
    • Packaging or labeling materials already used or procured; and
    • Any additional administrative costs associated with re-stocking or disposal.
  • Rescheduling Instead of Cancelling:
    If your inbound shipment is delayed, notify us promptly at customerservice@prepflowprime.com.
    We will attempt to reschedule your job internally to a later date at no extra charge, subject to available capacity.
  • Refunds and Credits:
    Refunds are issued only if:
    (a) PrepFlow Prime cancels the service for reasons under our control; or
    (b) an internal error occurs preventing completion of the booked work.
    Approved refunds will be processed to the original payment method within 10 business days of approval.
  • No Refunds Are Provided For:
    • Completed or partially completed work;
    • Seller-provided labeling or packaging errors;
    • Shipping or carrier delays beyond our control;
    • Goods abandoned, unclaimed, or held beyond the storage grace period.
  • Deposit Validity:
    Deposits not applied to a rescheduled order within 30 calendar days from the original booking date will expire and be forfeited.

8. Storage / Holding / Overflow Fee Clause (CA & NY–Compliant)

  1. No Storage Service by Default
    PrepFlow Prime is a flow-through facility, not a long-term warehouse. Space is reserved only for active jobs.
  2. Grace Period & Fee Onset
    You have 2 business days (48 hours) post-completion to (a) provide outbound shipping labels and (b) make payment in full.
    Beginning on Day 3, goods enter Overflow Holding Status.
  3. Overflow Holding Fees
    • $3.00 per box/carton per day
    • $15.00 per pallet per day
      These are deterrent fees reflecting limited floor space and opportunity cost, not penalties.
  1. Billing & Payment
    Fees accrue daily and are billed weekly. All outstanding balances must be cleared before shipment or release.
  2. Abandonment & Disposal
    After 30 calendar days without payment or contact, items are considered abandoned.
  1. A final notice will be sent (email + postal) with 10 business days to respond.
  2. If no response, PrepFlow Prime may dispose of, liquidate, or donate goods per UCC §7-209/§7-210.
  3. Any surplus proceeds (after costs) will be refunded within a reasonable period.
  1. Reasonableness & Compliance
    These rates represent a good-faith estimate of operational loss and comply with California Civil Code §1670.5, New York GBL §349, and UCC §7.
    If any rate is deemed excessive, it will be adjusted to the maximum lawful amount, with all other provisions remaining valid.
  2. Governing Law & Venue
    Governed by the laws of Texas, except that clients in CA or NY retain their full consumer protection rights. Venue shall be Harris County, TX, unless prohibited by applicable law.

9. Liability & Indemnity

PrepFlow Prime Fulfillment Services (“PrepFlow Prime”) exercises reasonable care in handling and preparing client goods but does not assume risk or liability beyond the scope described herein.

9.1 Limitation of Liability
To the fullest extent permitted by law, PrepFlow Prime is not liable for:

  • Carrier delays, loss, or damage once goods are handed off to a shipping provider;
  • Acts of God, natural disasters, power outages, or events beyond our control;
  • Losses arising from inaccurate, incomplete, or misleading information supplied by the client;
  • Indirect, incidental, special, or consequential damages, including lost profits, lost sales, or account suspensions on Amazon, Walmart, or other marketplaces.

In all cases, PrepFlow Prime’s total liability for any claim shall be limited to the total service fees paid by the client for the specific order giving rise to the claim.

9.2 Client Responsibility and Indemnification
Clients remain fully responsible for the condition, labeling accuracy, and legality of their goods.
Clients agree to indemnify, defend, and hold harmless PrepFlow Prime, its owners, affiliates, and employees from any claim, loss, liability, damage, or expense (including attorney fees) arising from:

  • The client’s products, actions, or omissions;
  • Intellectual property or trademark disputes related to the client’s goods;
  • Violation of applicable laws, regulations, or marketplace rules.

9.3  Exceptions
Nothing in this clause limits liability for gross negligence, fraud, or willful misconduct where such limitation is prohibited by law.

10. Insurance and Risk of Loss

Clients are responsible for insuring their own inventory and outbound shipments. Clients are responsible for maintaining adequate insurance coverage for their goods during transit to and from PrepFlow Prime’s facility and while stored or handled on site. PrepFlow Prime does not provide or maintain inventory insurance unless specifically agreed to in writing.

11. Privacy & Data Protection

We process your personal, business, and transactional data in accordance with our Privacy Policy, which provides full details on how we collect, use, store, share, and protect your information.

Our practices comply with applicable laws, including:

  • California Consumer Privacy Act (CCPA / CPRA) for California residents
  • State privacy laws such as those in Virginia, Colorado, Connecticut, Utah, etc.
  • FTC standards enforcing fair and transparent privacy practices and prohibiting deceptive acts
  • Sectoral federal privacy laws (as applicable, e.g. HIPAA for health data, GLBA for financial data)

We do not sell or share client personal data for marketing or commercial purposes without express consent.

Client Rights

Depending on your state of residence, you may have:

  • The right to access the personal data we hold about you
  • The right to correct or update inaccuracies
  • The right to request deletion (subject to legal and operational exceptions)
  • The right to opt out of certain data sharing or “selling” (if applicable under your state law)
  • A guarantee of non-discrimination for exercising these rights

We will respond to verified requests within the timeframes required by law.

Security & Breach Notification

We maintain reasonable organizational, administrative, and technical safeguards to protect your data from unauthorized access, disclosure, alteration, or destruction.
In the event of a data breach involving your personal information, we will comply with applicable state and federal breach-notification laws and promptly notify affected individuals and authorities as required.

Cross-Border / Third-Party Disclosures

  • We may share data with service providers, vendors, logistics partners, or compliance agents under contract for limited, authorized purposes only.
  • If data is transferred or stored across state or national borders, we will apply legally adequate safeguards and describe them in our Privacy Policy.

12. Amendments and Notice of Changes

PrepFlow Prime may update or modify these Terms of Service from time to time to reflect operational, legal, or regulatory changes.
When updates are made, the revised Terms will be posted on our website with the “Last Updated” date changed accordingly.

If the changes are material—such as adjustments to payment policies, client obligations, or data practices—we will provide notice by email, website banner, or similar method at least seven (7) days before the new Terms take effect.

Your continued use of PrepFlow Prime’s services after the effective date of any updated Terms constitutes your acceptance of the revised version.
If you do not agree to the updated Terms, you must discontinue use of our services before the effective date.

For recordkeeping and legal purposes, the version of these Terms in effect on the date of your booking or transaction shall govern that service order.

PrepFlow Prime observes the following major holidays each year:

  • New Year’s Day (January 1)
  • Memorial Day (last Monday in May)
  • Independence Day (July 4)
  • Labor Day (first Monday in September)
  • Thanksgiving Day and the following Friday
  • Christmas Eve and Christmas Day (December 24–25)

14. General Provisions

  • Entire Agreement:
    These Terms constitute the entire agreement between you and PrepFlow Prime regarding our services and supersede all prior oral or written understandings.
  • Severability:
    If any part of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver:
    Any failure by PrepFlow Prime to enforce a provision of these Terms shall not be considered a waiver of our right to enforce it later.
  • Assignment:
    You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. PrepFlow Prime may assign its rights and obligations in connection with any merger, acquisition, or business reorganization.
  • Governing Law:
    These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. Venue for any disputes shall be Harris County, Texas, unless otherwise required by applicable consumer protection law.
